Terms of Service

1. Agreement to Terms

By accessing or using MAGINNOTECH IT Solutions' website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services

MAGINNOTECH provides software development, design, consulting, and related technology services. The specific scope, deliverables, timeline, and costs for each project will be outlined in a separate Service Agreement or Statement of Work (SOW).

3. Use License

Website Content

Permission is granted to temporarily access the materials on MAGINNOTECH's website for personal, non-commercial viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

4. Intellectual Property

All content, features, and functionality on our website, including but not limited to text, graphics, logos, and software, are owned by MAGINNOTECH or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

For client projects, intellectual property rights will be defined in the Service Agreement or SOW. Generally:

  • Upon full payment, clients receive ownership of custom deliverables specific to their project
  • MAGINNOTECH retains ownership of pre-existing tools, frameworks, and methodologies
  • We reserve the right to use project work in our portfolio unless otherwise agreed

5. Payment Terms

Payment terms will be specified in the Service Agreement or SOW. Generally:

  • Projects may require an upfront deposit before work begins
  • Invoices are due within 30 days unless otherwise specified
  • Late payments may incur interest charges and work delays
  • All fees are exclusive of taxes, which the client is responsible for

6. Project Changes and Scope

Changes to the project scope after work has commenced may result in additional fees and timeline adjustments. All scope changes must be agreed upon in writing through a change order or amended SOW.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of our services.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

  • Our website and services are provided "as is" without warranties of any kind
  • We do not warrant that our services will be uninterrupted or error-free
  • We are not responsible for third-party services, platforms, or integrations
  • Client-provided content, data, or specifications are the client's responsibility

9. Limitation of Liability

To the maximum extent permitted by law, MAGINNOTECH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising out of or relating to our services shall not exceed the amount paid by the client for the specific services giving rise to the claim.

10. Termination

Either party may terminate services according to the terms specified in the Service Agreement. Upon termination:

  • Client must pay for all work completed up to the termination date
  • MAGINNOTECH will deliver all completed work to the client
  • Confidentiality obligations continue after termination

11. Indemnification

You agree to indemnify and hold MAGINNOTECH harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MAGINNOTECH operates, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
